Client Service Agreement

Kewbuilt LLC — AI Receptionist Service

This is the agreement a business accepts when it signs up for the Kewbuilt AI receptionist service. The version and date at the top identify the text in force. Questions: hello@kewbuilt.com.

Version 7 — November 4, 2026

This Client Service Agreement (the “Agreement”) is between Kewbuilt LLC, a California limited liability company (California Secretary of State File No. B20260453563), 2108 N Street, Suite N, Sacramento, California 95816 (“Kewbuilt”), and the business identified in the Order Record that accepts this Agreement under Section 15 (“Client”). Kewbuilt and Client are each a “Party” and together the “Parties.”

Key Terms at a Glance

This summary is for convenience. The numbered sections below control.

1. Definitions

1.1 “Receptionist” means the AI-powered phone receptionist that Kewbuilt designs, configures, deploys, and manages for Client under this Agreement, including its voice, scripts, call-handling logic, escalation rules, and integrations.

1.2 “Services” means the design, configuration, deployment, hosting, monitoring, maintenance, support, and ongoing management of the Receptionist, together with the notifications, call summaries, and Portal described in Schedule A, delivered as a managed service. Kewbuilt operates the Receptionist; Client does not self-administer it.

1.3 “Platform” means the third-party services Kewbuilt uses to deliver the Services, including voice-AI and language models, speech recognition and synthesis, telephony carriers, automation, hosting, email, payment processing, and data-storage services.

1.4 “Plan” means the service tier Client selects, identified by its Included Minutes and monthly fee in Schedule A-1.

1.5 “Included Minutes” means the number of Billable Minutes included in the Plan’s monthly fee for each Billing Month.

1.6 “Billing Month” means a calendar month. Monthly fees are charged on the first day of each Billing Month for that month (except the prorated first charge under Section 3.2), and usage is measured per Billing Month, Pacific time.

1.7 “Billable Minutes” means, for a Billing Month, the total seconds of all calls the Receptionist answered in that month, summed across the month and rounded up once to the next whole minute, excluding Non-Billable Calls. Each call is measured by the Platform from the moment the Receptionist answers until the Receptionist’s leg of the call ends, including time spent attempting a live transfer until the transfer connects. Wrong-number calls and test calls placed by Client or its staff are Billable Minutes. A call that ends on or after 11:50 PM Pacific on the last day of a month is counted in the following Billing Month.

1.8 “Non-Billable Calls” means (a) calls lasting under ten (10) seconds, (b) calls that Kewbuilt’s classification identifies as spam, robocalls, telemarketing, abusive or prank calls, (c) Kewbuilt’s own test calls, and (d) calls answered before the Go-Live Date. Non-Billable Calls do not count toward Included Minutes and are never charged to Client. Kewbuilt’s good-faith classification is final absent manifest error.

1.9 “Overage” means Billable Minutes in a Billing Month in excess of the Plan’s Included Minutes, charged under Section 4.2.

1.10 “Client Data” means all information about Client’s business and callers that passes through the Services, including caller names and phone numbers, call recordings, transcripts, call summaries, messages, appointment data, and the business information Client provides for configuration. Kewbuilt Materials (Section 9.1) are not Client Data.

1.11 “Go-Live Date” means the date Kewbuilt confirms to Client by email that the Receptionist is live and ready to receive forwarded calls.

1.12 “Effective Date” means the date Client accepts this Agreement under Section 15.

1.13 “Order Record” means the Plan, business name, billing and contact details Client provides at signup, together with Client’s completed onboarding questionnaire, which together populate Schedule A-2.

1.14 “Designated Contact” means the person or persons Client names in the Order Record to receive notifications and authorize changes.

1.15 “Portal” means the web-based client portal through which Kewbuilt makes call records, transcripts, summaries, and recordings available to Client.

1.16 “Onboarding Complete” means Client has returned Kewbuilt’s onboarding questionnaire, provided the information Section 2.1 requires, and given Kewbuilt any account access the questionnaire lists as needed for the Services. Kewbuilt confirms Onboarding Complete to Client by email; the date of that email starts the periods in Sections 2.1 and 3.1. Kewbuilt will send that confirmation within two (2) Business Days after Client has provided everything the questionnaire requires, or will tell Client within that time what is missing.

1.17 “Business Day” means Monday through Friday, excluding United States federal holidays, Pacific time.

2. Services

2.1 Setup. Kewbuilt will gather Client’s business information, build and test the Receptionist, and bring it live on the phone line(s) in the Order Record. Client will complete Kewbuilt’s onboarding questionnaire and provide accurate hours, services, staff contacts, escalation preferences, emergency resources, and any scripts or policies the Receptionist must follow. Kewbuilt aims to reach the Go-Live Date within fourteen (14) days after Onboarding Complete; that timing depends on Client’s responsiveness and is a target, not a guarantee, except as Section 3.1 provides.

2.2 Managed operation. After the Go-Live Date, Kewbuilt monitors the Receptionist, maintains its configuration and integrations, and makes reasonable adjustments Client requests in writing (for example, changed hours, new staff, revised escalation rules), ordinarily within two (2) Business Days. A change is effective when Kewbuilt confirms it by email; until then the prior configuration applies. Requests that materially expand the scope in Schedule A may require a Plan change or a separate quote. Kewbuilt may decline a requested change that would conflict with Section 5.4 or 7.1.

2.3 Urgent escalation; not an emergency service. The Receptionist is configured to flag calls that match the urgent criteria Client sets in the Order Record and to send an urgent notification to the Designated Contact by the channels listed there promptly after the call ends. Flagging is performed by artificial intelligence and may miss or over-flag calls. Kewbuilt relays; Client is responsible for acting on every notification. The Receptionist is not an emergency or triage service, does not assess the severity of a caller’s situation, and does not contact emergency services or anyone else on a caller’s behalf. Where a caller describes an emergency, the Receptionist is configured to tell the caller to contact the emergency resources Client designates in the Order Record (for example, 911 or an emergency clinic). Client is solely responsible for choosing those resources and keeping them accurate and current, and will reconfirm them to Kewbuilt in writing at least quarterly.

2.4 Live transfer. Where the Order Record includes live transfer, the Receptionist will attempt to connect qualifying calls to the numbers Client designates. Client is responsible for keeping those numbers answered and current. Kewbuilt is not responsible for a transfer that fails because the designated number is unanswered, busy, out of service, or forwards back to the Receptionist.

2.5 Platform changes. Kewbuilt may change Platform providers or components at any time, provided the Services continue to meet Schedule A. Kewbuilt will give notice of any change that materially reduces the Services, and Client may cancel under Section 6.

2.6 Multiple locations. Client may cover additional locations or phone lines under this Agreement by adding them to the Order Record. Each location carries its own Plan, monthly fee, and setup fee. Sections 1.5–1.9, 3.1, 3.2, and 4 apply separately to each location, and Client may cancel a single location under Section 6.2. Client adds a location by written request from the Designated Contact; Kewbuilt confirms the location, Plan, and fees by email, and Section 3.4 authorizes that location’s setup fee and charges. One Agreement and one contact of record for the Agreement as a whole, with per-location billing; the Order Record may name a separate Designated Contact, notification inbox, Portal users, hours, and escalation rules for each location. Where Client has more than one location, Onboarding Complete, the Go-Live Date, and the periods in Sections 2.1 and 3.1 are determined separately for each location, and a location’s monthly fee begins on that location’s Go-Live Date. A location operated by an affiliate of Client (an entity under common ownership or control with Client) may be added under this Agreement; that affiliate’s location is Client’s location for all purposes, the license in Section 9.2 extends to it, and Client remains responsible for the affiliate’s compliance with this Agreement and for all fees.

2.7 Inbound only. The Receptionist answers inbound calls. Other than connecting a caller by live transfer under Section 2.4, it does not place outbound calls, and it does not send text messages to callers; Kewbuilt will not configure it to do so under this Agreement. The only communication a caller may receive after a call is a confirmation generated by the appointment-booking system identified in the Order Record, which Client controls and for which Client is responsible.

2.8 Support. Kewbuilt provides support to the Designated Contact by email at the support address in Section 14.2 on Business Days, 9:00 AM to 5:00 PM Pacific, and ordinarily responds within one (1) Business Day. Reports that the Receptionist is not answering calls are handled as a priority. Kewbuilt does not provide 24/7 human support; the Receptionist itself operates during the hours stated in the Order Record.

2.9 Portal and notifications. Kewbuilt delivers call records to Client through the Portal and the notification emails described in Schedule A. Client will review new messages at least once each Business Day and is responsible for following up with its callers. Transcripts, summaries, and extracted details are AI-generated and subject to Section 10.1; while it is retained under Section 7.4, the recording is the authoritative record of a call.

3. Fees and Payment

3.1 Setup fee. Client will pay the one-time setup fee in Schedule A-1 at acceptance. The setup fee compensates Kewbuilt for building the Receptionist and is non-refundable, with one exception: if Kewbuilt has not achieved the Go-Live Date within thirty (30) days after Onboarding Complete, for reasons within Kewbuilt’s reasonable control, Client may cancel this Agreement by written notice and Kewbuilt will refund the setup fee in full as Client’s sole and exclusive remedy. The exception does not apply if Onboarding Complete has not occurred within sixty (60) days after the Effective Date for reasons attributable to Client.

3.2 Monthly fee. Client will pay the Plan’s monthly fee in advance for each Billing Month. No monthly fee is charged before the Go-Live Date. On the Go-Live Date, Kewbuilt charges the payment method on file a prorated monthly fee for the time remaining in that Billing Month, as calculated by Kewbuilt’s payment processor, and that month’s Included Minutes are prorated by days (Included Minutes × days remaining, counting the Go-Live Date, ÷ days in the month, rounded to the nearest ten). From then on, the full monthly fee is charged on the first day of each Billing Month.

3.3 No refunds. Except as Sections 3.1, 5.6, 6.2, 6.3, 6.4, and 12.2 expressly provide, all fees are non-refundable. There is no refund, credit, or proration for partial Billing Months, unused Included Minutes, or cancellation during a Billing Month.

3.4 Payment authorization. Client authorizes Kewbuilt and its payment processor to charge the payment method Client provides for the setup fee, each monthly fee, each Overage charge under Section 4, each Plan move under Section 4.3 at the fees stated in Schedule A-1, and any other amount due under this Agreement, automatically and without further authorization, until this Agreement ends and all amounts owed are paid. Client will keep a valid payment method on file and may update it at any time through the link Kewbuilt provides. Kewbuilt uses a third-party payment processor and does not itself store Client’s card number. Kewbuilt’s payment processor emails Client a receipt for each charge.

3.5 Failed payments. If a charge fails, Kewbuilt’s payment processor will notify Client and retry. If payment is not received within seven (7) days after the charge date, Kewbuilt may suspend the Services on email notice to the Designated Contact. During a suspension, calls reaching the Receptionist’s number are routed to the suspension fallback number in the Order Record (a number that does not forward to the Receptionist); if none is listed, the Receptionist stops answering and Client should remove call forwarding. Kewbuilt restores the Services within one (1) Business Day after the balance is paid. Suspension does not extend the Billing Month or waive fees. Kewbuilt may terminate under Section 6.4 if payment is not received within thirty (30) days. Client is responsible for any returned-payment or chargeback fees Kewbuilt incurs on Client’s account.

3.6 Taxes. Fees exclude any sales, use, or similar taxes. If any such tax applies to the Services, Client will pay it in addition to the fees.

3.7 Price changes. Kewbuilt may change Plan pricing on at least thirty (30) days’ written notice. The new price takes effect on the first day of the Billing Month after the notice period ends. Client may cancel under Section 6 before the new price takes effect. An Overage charge or Plan move at the fees already stated in Schedule A-1 is not a price change.

3.8 Billing disputes and chargebacks. Client will review each invoice and raise any dispute in writing within fourteen (14) days after the invoice date; a charge not disputed within that time is accepted. Kewbuilt will review the relevant call log, transcripts, and any recordings still retained under Section 7.4, respond within ten (10) Business Days, and correct any billing error it finds whether or not Client raised it within that time. Client agrees to raise a dispute with Kewbuilt under this Section before initiating a chargeback with its card issuer or bank. The Platform’s call records, as captured in Kewbuilt’s call log (date, time, duration, and the classification under Section 1.8), are the record of Billable Minutes absent manifest error; if the call log omits a call, the Platform’s record controls.

4. Usage, Overage, and Plan Changes

4.1 Usage tracking and alerts. Kewbuilt tracks Billable Minutes per Billing Month and makes the running total available to Client through the Portal or on request. Kewbuilt sends the Designated Contact automatic email notices when usage reaches approximately eighty percent (80%) and one hundred percent (100%) of Included Minutes, when the Cap Point (Section 4.2) is reached, and a usage summary at month end before the invoice. A missed or delayed notice does not change the amount owed under this Section 4.

4.2 Overage and cap. Overage is charged at the per-minute rate in Schedule A-1, calculated once at the end of each Billing Month and added as a separate line on the invoice issued on the first day of the following month. For every Plan except the highest, the Overage charge for a Billing Month is (a) the lesser of the Overage minutes multiplied by the Overage rate and the next higher Plan’s monthly fee minus Client’s Plan’s monthly fee (the “Cap Amount”), plus (b) the Overage rate for each Billable Minute beyond the next higher Plan’s Included Minutes. As a result, for usage up to the next higher Plan’s Included Minutes, Client’s monthly fee plus Overage never exceeds the next higher Plan’s monthly fee. The “Cap Point” is the Billable Minute at which the Overage charge under (a) first equals the Cap Amount (450 minutes on the 300-minute Plan; 950 minutes on the 600-minute Plan). The highest Plan has no cap. In the prorated first Billing Month, Included Minutes are prorated under Section 3.2, the Cap Amount and the next higher Plan’s Included Minutes are each multiplied by the fraction Kewbuilt’s payment processor applied to the prorated monthly fee, and that month does not trigger a Plan move under Section 4.3. Client’s line is never cut off for usage.

4.3 Plan moves. If Client’s Billable Minutes reach the Cap Point in any Billing Month other than the prorated first Billing Month, Kewbuilt notifies the Designated Contact by email the day the Cap Point is reached, and Client’s Plan moves to the next higher Plan in Schedule A-1 effective the first day of the first Billing Month that begins at least seven (7) full days after the notice Kewbuilt actually sends. Plan changes take effect only at the start of a Billing Month, never mid-month, and are never prorated. Schedule A-1 states every Plan’s fee and Included Minutes, so Client knows at acceptance exactly what a move costs. By accepting this Agreement, Client expressly consents to Plan moves and the resulting charges.

4.4 Highest Plan. If Client is on the highest Plan and its usage regularly exceeds the Included Minutes by a wide margin, Kewbuilt will contact Client to agree a custom Plan. Until one is agreed, Overage on the highest Plan is charged at the per-minute rate in Schedule A-1 without cap.

4.5 Moving down. Plans never move down automatically. Client may request a lower Plan in writing; the change takes effect on the first day of the next Billing Month, provided Client’s Billable Minutes in the Billing Month in which Client made the request fit within the lower Plan’s Included Minutes; otherwise the request carries forward to the first day of the Billing Month after the first Billing Month whose usage fits.

5. Client Responsibilities

5.1 Accurate information. Client is responsible for the accuracy of all business information, hours, policies, scripts, emergency resources, and contacts it provides, and for telling Kewbuilt promptly when they change. Kewbuilt may rely on that information without independent verification. The Receptionist will say what Client has told Kewbuilt to say.

5.2 Phone service and fallback. Client remains responsible for its own telephone carrier account and for configuring call forwarding to the Receptionist as instructed by Kewbuilt at Go-Live. Kewbuilt will provide written forwarding instructions and assist on request. If the Receptionist cannot be reached for any reason, calls follow whatever no-answer handling Client’s carrier applies; Client is responsible for maintaining a fallback (such as voicemail), and Kewbuilt is not responsible for calls that never reach the Receptionist. The suspension fallback number in the Order Record (Section 3.5) is separate from that carrier fallback and must not be a number that forwards to the Receptionist.

5.3 Designated Contact and users. Client will designate at least one Designated Contact who can receive notifications and authorize configuration changes. Kewbuilt may rely on instructions from the Designated Contact or from any person reasonably appearing to act for Client from an email address at Client’s business domain, and may verify a request by any reasonable means before acting on it. Client is responsible for the actions of its users, for keeping Portal credentials confidential, and for telling Kewbuilt promptly when a user’s access should be removed.

5.4 Lawful use. Client will use the Services only for lawful purposes and will not configure or ask Kewbuilt to configure the Receptionist to make representations that are false, to collect information Client is not permitted to collect, to contact callers in ways that violate applicable law, or in any way that violates the acceptable-use terms of the Platform providers.

5.5 Client’s industry rules and caller privacy. Client is solely responsible for determining whether its use of the Services complies with the laws, professional rules, and licensing requirements that govern Client’s business and the information its callers share (for example, patient privacy, attorney-client confidentiality, financial recordkeeping, and consumer-protection rules), and for providing any privacy notices to its callers that those rules require. Kewbuilt processes Client Data on Client’s behalf and does not make those determinations for Client.

5.6 Health care and regulated information. Kewbuilt does not provide the Services to health care practices and does not sign business associate agreements. Client represents that (a) it is not a “covered entity,” including a hybrid entity, as defined in 45 C.F.R. § 160.103; (b) it will not use the Services for any function or activity it performs as a “business associate” (as defined there); and (c) neither Client nor anyone acting on its behalf provides health care to people, and Client is not a “provider of health care” under California Civil Code § 56.05 or a similar law of any state. “Health care” means services that require, or are provided by a person holding, a license, certificate, or registration to provide health care to people under the laws of any state, including medical, dental, vision, mental-health or counseling, chiropractic, physical- or occupational-therapy, nursing, pharmacy, and medical-aesthetic (med-spa) services. Veterinary practices are not excluded by this Section. Client will notify Kewbuilt in writing at least thirty (30) days before any of these representations will stop being true, or immediately if it learns one is untrue, and will remove call forwarding before that date. This Agreement then ends on that date, or on Kewbuilt’s receipt of the notice if a representation is already untrue. Kewbuilt will refund the prorated monthly fee for the days after the end date, unless a representation was untrue when made. Section 7.5 then applies, except that the export window is ten (10) days. The Services are not designed to receive or store cardholder data under PCI-DSS or information regulated under similar regimes. Client will not configure the Receptionist to communicate information about a patient’s clinical condition, results, or treatment. The Receptionist is instructed not to collect payment card numbers, Social Security numbers, or similar sensitive identifiers, and Client will not ask it to.

6. Term and Termination

6.1 Term. This Agreement begins on the Effective Date and continues month to month until cancelled under this Section 6. There is no minimum term.

6.2 Cancellation by Client. Client may cancel this Agreement, or any single location under Section 2.6, at any time, for any reason, by written notice to Kewbuilt from the Designated Contact or another authorized representative of Client (email to the notice address in Section 14.2 is sufficient). Cancellation takes effect when Kewbuilt receives the notice, unless Client asks for it to take effect at the end of the current Billing Month. Kewbuilt will confirm the cancellation by email and stop the Receptionist within one (1) Business Day after receipt (or on the later date Client chose); Client will remove call forwarding. Fees already paid, including the setup fee and the current month’s fee, are not refunded; no further monthly fees are charged; and any Overage accrued to the cancellation date is invoiced immediately and is payable under Section 3.4. If a monthly fee is charged after cancellation took effect, Kewbuilt will refund it.

6.3 Cancellation by Kewbuilt. Kewbuilt may cancel this Agreement for any reason on at least thirty (30) days’ written notice. If the cancellation date falls within a Billing Month Client has already paid for, Kewbuilt will refund the prorated monthly fee for the days after the cancellation date; if the cancellation date is before the Go-Live Date, Kewbuilt will also refund the setup fee.

6.4 Termination for cause. Kewbuilt may suspend or terminate the Services immediately on written notice if Client has not paid an amount due within thirty (30) days after its charge date (suspension after seven (7) days is governed by Section 3.5), breaches Section 5.4, 5.5, 5.6, or 9.4, uses the Services in a way that exposes Kewbuilt or the Platform to legal risk or abuse, or if a Platform provider suspends service to Client’s Receptionist for reasons attributable to Client. Kewbuilt may also terminate this Agreement on written notice if Onboarding Complete has not occurred within ninety (90) days after the Effective Date for reasons attributable to Client, after at least two written reminders; the setup fee is not refunded in that case. Client may terminate this Agreement if Kewbuilt materially breaches it and does not cure the breach within fifteen (15) days after written notice describing it, in which case Kewbuilt will refund the prorated monthly fee for the days after termination.

6.5 Effect of ending. When this Agreement ends, Kewbuilt will stop the Receptionist, Client will remove call forwarding, and all amounts accrued remain payable. Sections 1, 3 and 4.2 (as to amounts owed), 3.8, 5.5, 5.6, 7.1 and 7.2 (as to calls handled before the Agreement ended), 7.3 through 7.8, 8.2, 9, 10, 11, 12, 13, 14, and 15.3 survive, and Section 7 applies for as long as Kewbuilt holds any Client Data.

7.1 Recording and AI disclosure. The Receptionist records and transcribes calls. Kewbuilt configures the Receptionist to speak, at the beginning of every call and before any substantive conversation, the disclosure sentence set out in Schedule A-3, which tells the caller that the call may be recorded and that the caller is speaking with an AI receptionist, and to confirm honestly if a caller asks whether they are speaking with a person or whether the call is recorded. Client has reviewed and approved that disclosure sentence. Client authorizes recording on the phone line(s) in the Order Record and represents that it has the authority to grant that authorization. Client will not ask Kewbuilt to remove, shorten, or move the disclosure.

7.2 Client’s consent obligations. Call-recording and AI-disclosure requirements vary by jurisdiction. Client is responsible for determining the requirements that apply to calls to its business, including under California Penal Code §§ 632 and 632.7 and the laws of the states its callers are in, for any notices beyond the disclosure in Section 7.1, and for any notice owed to Client’s own staff where calls are transferred to them. Kewbuilt will implement any additional disclosure wording Client requires. As between the Parties, Client is responsible for the legal sufficiency of the disclosure for its business and callers, and Kewbuilt is responsible for configuring the Receptionist to speak the Schedule A-3 sentence on every call.

7.3 Ownership and use of Client Data. Client owns Client Data. Kewbuilt acts as Client’s service provider and processes Client Data only for the following business purposes (the “Business Purposes”): (i) answering, recording, and transcribing calls to Client’s lines, taking messages, and booking appointments; (ii) delivering call records, summaries, and notifications to Client; (iii) reviewing calls and transcripts to configure, test, and correct Client’s Receptionist; (iv) measuring usage and billing under Sections 1.7 through 4; (v) securing the Services and detecting spam and abuse, which may use signals observed across Kewbuilt’s clients; and (vi) improving the quality of the Services and the Kewbuilt Materials generally, provided that Kewbuilt does not use Client Data to perform services for any other client and no Client Data is incorporated into the Kewbuilt Materials. The Business Purposes are Client’s processing instructions for purposes of any U.S. state privacy or consumer-health-data law, and Kewbuilt acts as Client’s processor under those laws. Kewbuilt does not use Client Data to train or fine-tune artificial-intelligence models. Kewbuilt’s voice-AI provider may use de-identified, aggregated call data to improve the models in its service under its published terms unless Kewbuilt has obtained a written exclusion; Kewbuilt will notify Client by email when it obtains one. Kewbuilt will not sell or share Client Data, will not use it for advertising or to market to Client’s callers, and will not retain, use, or disclose it outside its direct business relationship with Client or for any purpose other than the Business Purposes. Kewbuilt will not combine Client Data with personal information it receives from others except as the California Consumer Privacy Act permits a service provider to do. To the extent that Act applies to Client: Kewbuilt will comply with its obligations as a service provider and provide the same level of privacy protection the Act requires of Client; Client may take reasonable and appropriate steps to ensure Kewbuilt uses Client Data consistently with Client’s obligations and to stop and remediate any unauthorized use; Kewbuilt will notify Client if it can no longer meet those obligations; and Kewbuilt engages its Platform providers only under written terms that impose the restrictions the Act requires. The current Platform providers that process Client Data are listed at kewbuilt.com/subprocessors, and Kewbuilt will email the Designated Contact before a new one begins processing Client Data. Kewbuilt may retain de-identified, aggregated usage data that does not identify Client or any caller. Kewbuilt will (a) bind each person who processes Client Data for it to a duty of confidentiality; (b) engage any Platform provider or contractor that processes Client Data only under written terms requiring it to protect Client Data consistently with this Section; (c) on Client’s reasonable written request, no more than once a year, provide information reasonably necessary to show its compliance with this Section 7, which Kewbuilt may satisfy with written answers and its providers’ published security reports; (d) assist Client in responding to requests from callers under applicable privacy laws as Section 7.7 provides; and (e) return or delete Client Data under Section 7.5. If Client objects to a new Platform provider, its remedy is cancellation under Section 6.2. Kewbuilt does not use the Services to create voiceprints or other biometric identifiers or to identify or verify callers by voice, and will not attempt to re-identify de-identified data.

7.4 Retention. Call recordings are retained for thirty (30) days after each call and are then deleted from active use in the Platform, the Portal, and Kewbuilt’s own systems; residual copies in Platform providers’ revision histories, logs, and backups are purged on those providers’ schedules. Transcripts, call summaries, messages, and call records are retained in the Portal for the term of this Agreement so that Client’s Portal, notifications, and summaries work, and are then handled under Section 7.5. Notification emails already delivered to Client are Client’s copies and are retained under Client’s own practices; Kewbuilt’s internal copies are deleted under Section 7.5.

7.5 Export and deletion on exit. For thirty (30) days after this Agreement ends, Client may request an export of its transcripts, summaries, and call records in CSV or another common machine-readable format. Within thirty (30) days after that window, Kewbuilt will delete Client Data from active systems; copies in Kewbuilt’s periodic backups are deleted within ninety (90) days after that. Kewbuilt may retain records it is required by law to keep or that are needed to resolve a billing dispute, and retains the Kewbuilt Materials, from which it will remove Client Data in any client-specific configuration it keeps. Kewbuilt may also retain, for up to three (3) years after each call, that call’s log entry and the portion of its transcript showing the Schedule A-3 sentence, solely to establish or defend legal claims.

7.6 Subprocessors and security. Kewbuilt uses reputable third-party Platform providers to deliver the Services; the current list is at kewbuilt.com/subprocessors (Section 7.3). Kewbuilt maintains reasonable administrative and technical safeguards for Client Data, including access controls, logical separation of each client’s data, and encryption in transit. Kewbuilt will notify Client immediately following discovery that Client Data was, or is reasonably believed to have been, acquired by an unauthorized person, and will cooperate reasonably with Client’s response. As the owner of Client Data, Client is responsible for any notices to callers or regulators that the law requires of it.

7.7 Caller requests. If a caller asks Client or Kewbuilt to access, correct, or delete their information, or makes another request under a privacy law, Kewbuilt will forward any request it receives to Client within five (5) Business Days and will help Client respond, including by correcting or deleting Client Data at Client’s written instruction, where the law requires it.

7.8 Legal process. Kewbuilt may disclose Client Data where required by law, subpoena, or court order, and will give Client prompt notice where the law permits so that Client may seek protection.

8. Phone Numbers

8.1 Client’s numbers. Any phone number Client already holds stays Client’s. Kewbuilt does not take control of Client’s existing numbers; Client forwards calls to the Receptionist.

8.2 Numbers Kewbuilt provisions. If Kewbuilt provisions a phone number for Client’s Receptionist, Kewbuilt will do so through a carrier that supports number porting, and that number is assigned for Client’s use for the term. On ending this Agreement, Client may port the number to a carrier of its choice. Client must request the port within thirty (30) days after the Agreement ends; Kewbuilt will cooperate promptly and will not charge a fee for releasing the number (Client pays any carrier porting charges). If no request is made within thirty (30) days, Kewbuilt may release the number.

9. Ownership and License

9.1 Kewbuilt Materials. Kewbuilt owns all right, title, and interest in the Receptionist’s design, prompts, conversation logic, knowledge-base structure, automations, workflows, software, templates, documentation, and all improvements and derivatives (“Kewbuilt Materials”), including any built or refined using Client’s feedback. Nothing in this Agreement transfers Kewbuilt Materials to Client.

9.2 License to Client. During the term, Kewbuilt grants Client a non-exclusive, non-transferable license to have the Receptionist answer Client’s calls as part of the Services and to use the Portal for its internal business purposes.

9.3 Client Materials. Client owns its business name, trademarks, scripts and policies it authored, its calendar and booking accounts, and Client Data. Client grants Kewbuilt a license to use these as needed to provide the Services. Client represents that it has the right to grant that license.

9.4 Restrictions. Client will not, and will not permit anyone else to, copy, extract, reverse engineer, or attempt to replicate the Receptionist’s prompts or logic, resell or sublicense the Services, or use the Services to build a competing product. Client’s access to transcripts and recordings does not license the Kewbuilt Materials. This Section does not restrict Client from using another provider after this Agreement ends.

9.5 Feedback. Client grants Kewbuilt a perpetual, irrevocable, royalty-free, worldwide license to use and incorporate any suggestions or feedback Client provides, without obligation to Client. Feedback does not include Client Data.

9.6 Kewbuilt Materials are confidential. The Kewbuilt Materials are Kewbuilt’s confidential information under Section 13.

10. Service Quality and Disclaimers

10.1 Nature of AI. Client acknowledges that the Receptionist uses artificial intelligence and speech recognition, which can mis-hear words, misunderstand intent, mis-summarize, mis-record a name or number, or route a call differently than a person would, and that transcripts, summaries, and extracted details may contain errors. Kewbuilt tests the Receptionist before Go-Live and corrects reported issues promptly, but does not guarantee that the Receptionist will be error-free or that every call will be handled correctly. Client should listen to the recording (available for thirty (30) days under Section 7.4) before relying on a transcript or summary for any consequential decision.

10.2 Availability. Kewbuilt will use commercially reasonable efforts to keep the Receptionist available at all times, will tell Client promptly about any outage it becomes aware of, and may perform maintenance that briefly interrupts the Services. Kewbuilt is not responsible for outages or degraded service caused by Platform providers, telephone carriers, internet failures, or Client’s own systems.

10.3 Purpose and limits of the Services. The Receptionist is a message-taking, information, and scheduling tool. It is not a substitute for Client’s staff, professional judgment, triage, or emergency response. It does not give professional, medical, veterinary, legal, or financial advice, and Client will not configure it to do so.

10.4 What this Agreement covers. Kewbuilt’s website, demonstration phone line, proposals, and sales conversations illustrate the Services. The description of the Services in this Agreement, including Schedule A and the Order Record, is the complete statement of what Kewbuilt will provide, and nothing outside it is a warranty.

10.5 Disclaimer. EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT, THE SERVICES ARE PROVIDED “AS IS,” AND KEWBUILT DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

11. Limitation of Liability

11.1 Cap. TO THE FULLEST EXTENT PERMITTED BY LAW, KEWBUILT’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICES, UNDER ANY THEORY AND FOR ALL CLAIMS COMBINED, WILL NOT EXCEED THE GREATER OF (A) THE FEES CLIENT PAID TO KEWBUILT IN THE THREE (3) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE THOUSAND DOLLARS ($1,000). MULTIPLE CLAIMS DO NOT ENLARGE THIS LIMIT.

11.2 Excluded damages. IN NO EVENT WILL KEWBUILT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST OR MISSED CUSTOMERS OR CALLS, MISSED OR MIS-BOOKED APPOINTMENTS, LOST DATA, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THEIR POSSIBILITY.

11.3 Exceptions. The limits in this Section 11 do not apply to the extent California Civil Code § 1668 or other applicable law does not allow them to be applied (including to liability for fraud or for willful injury to a person or property), or to Kewbuilt’s gross negligence or willful misconduct. They do not limit Client’s obligation to pay fees or Client’s obligations under Section 12.1.

11.4 Basis of the bargain; sole remedy. Client acknowledges that the fees reflect this allocation of risk and that Kewbuilt would not provide the Services at these fees without it. Where this Agreement states a specific remedy for a specific failure (Sections 3.1 and 12.2), that remedy is Client’s sole and exclusive remedy for that failure.

11.5 Time limit for claims. Any claim arising out of or relating to this Agreement or the Services must be brought within one (1) year after the Party bringing it knew, or reasonably should have known, of the facts giving rise to it, or it is waived. This Section does not apply to claims for fees owed or to claims under Section 12, which may be brought within the period the applicable statute allows.

11.6 Who the limits protect. Sections 10.5 and 11 also limit the liability of Kewbuilt’s affiliates, members, managers, officers, employees, and contractors for anything arising out of or relating to this Agreement or the Services, and Client will not bring a claim against any of them personally that it could not bring against Kewbuilt. Each of them may enforce Sections 10.5, 11, and 12.1 as a third-party beneficiary.

12. Indemnification

12.1 By Client. Client will defend and indemnify Kewbuilt and its affiliates, members, managers, officers, employees, and contractors (the “Kewbuilt Indemnitees”) against any claim brought by a caller, customer, patient, employee of Client, regulator, or other third party, and the resulting damages, penalties, settlements, and reasonable costs (including attorneys’ fees), to the extent arising from: (a) the goods or services Client provides to its own customers, and Client’s handling of, or failure to act on, any call, message, appointment, or notification; (b) the configuration, scripts, hours, urgent criteria, emergency resources, instructions, and other content Client provided or approved; (c) any claim that the recording, transcription, or AI processing of calls to Client’s lines violated a call-recording, wiretapping, eavesdropping, privacy, or AI-disclosure law, including a claim that the Schedule A-3 sentence was insufficient, AND INCLUDING WHERE KEWBUILT’S OWN NEGLIGENCE, OR KEWBUILT’S OR ITS PLATFORM PROVIDERS’ RECORDING OR PROCESSING AS DESCRIBED IN THIS AGREEMENT, CONTRIBUTED TO THE CLAIM, except for a call on which the Receptionist did not speak the Schedule A-3 sentence at the start of the call; (d) Client’s failure to meet its obligations under Sections 5.5, 5.6, 7.1, or 7.2; (e) Client’s or its staff’s use of the information the Receptionist collects; or (f) Client’s breach of this Agreement. Clauses (a) through (f) do not apply to the extent a court finally determines the claim was caused by Kewbuilt’s fraud, gross negligence, or willful misconduct. Recording and processing calls as this Agreement describes is not, by itself, willful misconduct or gross negligence for purposes of this Section.

12.2 By Kewbuilt. Kewbuilt will defend and indemnify Client against third-party claims that the Kewbuilt Materials, as provided by Kewbuilt and used as permitted, infringe a United States copyright or trademark. This obligation does not cover claims arising from Platform components, third-party voices or models, Client-provided content, or Client’s misuse. If such a claim is made or appears likely, Kewbuilt may modify or replace the affected materials or, if that is not commercially reasonable, terminate this Agreement and refund any prepaid fees for the period after termination; those steps and this Section 12.2 are Client’s sole remedy for infringement, and Kewbuilt’s obligation is subject to Section 11.

12.3 Process. In this Section 12.3, “indemnified Party” includes each Kewbuilt Indemnitee, and Kewbuilt may act for any of them. The indemnified Party will give prompt notice (a delay relieves the indemnifying Party only to the extent it is prejudiced), allow the indemnifying Party to control the defense and settlement, and cooperate reasonably. The indemnified Party may participate with its own counsel, including through its insurer, at its own expense. No settlement may admit fault for, or impose any obligation other than a payment fully funded by the indemnifying Party on, the indemnified Party without its written consent. If the indemnifying Party does not assume the defense within fifteen (15) days after notice, or a conflict of interest makes joint representation inappropriate, the indemnified Party may defend the claim itself at the indemnifying Party’s expense.

13. Confidentiality

13.1 Each Party will keep the other’s non-public business information confidential, use it only for this Agreement, and protect it with reasonable care, for the term and two (2) years after (and, for the Kewbuilt Materials, for as long as they remain non-public). This does not cover information that is public, already known, independently developed, or that must be disclosed by law (with notice where permitted). Client Data is Client’s confidential information; Section 7 governs how Kewbuilt may use and retain it. Kewbuilt may identify Client as a customer only with Client’s prior written consent.

14. General

14.1 Independent contractor; non-exclusive. Kewbuilt is an independent contractor. Nothing creates a partnership, joint venture, agency, or employment relationship. Kewbuilt may provide services to other businesses, including Client’s competitors, using the Kewbuilt Materials; this Agreement is not exclusive.

14.2 Notices and contact addresses. Notices under this Agreement are effective when sent by email, except that a cancellation notice under Section 6.2 is effective when Kewbuilt receives it. Notices and support requests to Kewbuilt go to hello@kewbuilt.com, or any replacement address Kewbuilt designates by notice. Notices to Client go to the Designated Contact’s email in the Order Record, or any replacement address Client designates by notice. If an email bounces, the sender will also send a copy by another reasonable method. Kewbuilt’s mailing address is 2108 N Street, Suite N, Sacramento, California 95816.

14.3 Governing law; disputes. This Agreement is governed by California law without regard to conflict-of-law rules. The Parties will first try in good faith to resolve any dispute by direct discussion for thirty (30) days, except that either Party may seek injunctive relief at any time to protect its intellectual property or confidential information. Any action must be brought in the state or federal courts located in California, and each Party consents to the personal jurisdiction of those courts; venue within California is as California law provides. Either Party may bring a qualifying claim in a California small claims court. If a court holds this forum requirement unenforceable against Client, the action may be brought in the courts of the state of Client’s principal place of business, and California law still governs. In any action to enforce this Agreement, the prevailing Party may recover its reasonable attorneys’ fees and costs.

14.4 Assignment. Client may not assign this Agreement without Kewbuilt’s written consent, which Kewbuilt will not unreasonably withhold for an assignment to a buyer of all or substantially all of Client’s business that agrees in writing to be bound. Kewbuilt may assign this Agreement without consent, on notice to Client, to an affiliate or to a successor to all or part of its business by merger, reorganization, or sale of assets or equity. Any other attempted assignment is void. This Agreement binds and benefits the Parties’ successors and permitted assigns.

14.5 Force majeure. Neither Party is liable for delay or failure caused by events beyond its reasonable control, including failures of Platform providers, telephone carriers, or internet service, except payment obligations.

14.6 Changes to this Agreement. Kewbuilt may update this Agreement by emailing the Designated Contact at least thirty (30) days before the change takes effect, identifying the changes. The updated Agreement takes effect on the first day of the Billing Month after that notice period ends and applies from that date forward only. Client may cancel under Section 6.2 before the change takes effect; continued use of the Services after that date is acceptance of the updated Agreement. Changes under this Section may update the Services, fees, and operational terms of this Agreement but will not add a new dispute-resolution process, increase Client’s liability or indemnity obligations, loosen the limits in Section 7.3, or apply to any dispute that arose before the change took effect. Changes to Plan pricing are governed by Section 3.7.

14.7 Entire agreement; precedence. This Agreement, including its Schedules and the Order Record, is the entire agreement about its subject and replaces prior discussions, proposals, and marketing statements. Plan changes, added locations, and configuration changes are made under Sections 2.2, 2.6, and 4 and recorded in the Order Record. If the body of this Agreement conflicts with a Schedule or the Order Record, the body controls, then Schedule A, then the Order Record. A written addendum signed by both Parties that expressly identifies a Section it changes controls over that Section for that Client, and a later update under Section 14.6 does not override it.

14.8 Severability; waiver; interpretation. If any provision is unenforceable, the rest remains in effect and the provision is enforced to the maximum extent permitted. A waiver must be in writing and applies only to the instance waived. Headings are for convenience only; “including” means “including without limitation”; and this Agreement will not be construed against either Party as its drafter.

14.9 Electronic records and signatures. This Agreement may be accepted and signed electronically under the federal E-SIGN Act (15 U.S.C. § 7001 et seq.) and the Uniform Electronic Transactions Act as adopted in California (Civil Code § 1633.1 et seq.) and other states, and electronic records of acceptance are admissible to the same extent as a signed paper original. Client agrees to receive this Agreement, notices, invoices, and receipts electronically.

14.10 Authority. The person accepting this Agreement for Client represents that they are authorized to bind Client.

14.11 No third-party beneficiaries. Except for the Kewbuilt Indemnitees (Sections 11.6 and 12.1), this Agreement is for the benefit of the Parties only. Client’s callers, customers, patients, and staff are not third-party beneficiaries of it and may not enforce it.

14.12 Personnel and subcontractors. Kewbuilt may use its and its affiliates’ employees and independent contractors to perform the Services. Kewbuilt remains responsible for their performance, gives them access to Client Data only as needed to provide the Services, and binds each of them in writing to confidentiality and to the restrictions in Section 7.

15. Acceptance

15.1 How Client accepts. Client accepts this Agreement, and it becomes binding on both Parties, on the earliest of: (a) Client checking the acceptance box and completing checkout on the checkout page Kewbuilt’s payment processor hosts for Kewbuilt; (b) Client signing it, electronically or on paper; or (c) Client paying the setup fee or forwarding calls to the Receptionist. The date of acceptance is the Effective Date.

15.2 What Client specifically acknowledges. By accepting, Client acknowledges: the non-refundable $750 setup fee (Section 3.1); recurring automatic monthly charges on the 1st of each month (Sections 3.2–3.4); per-minute Overage charges capped at the next Plan’s fee for the next Plan’s minutes, and Plan moves after the cap is reached (Section 4); that the Receptionist is an AI system that is not an emergency service and can make mistakes (Sections 2.3 and 10); the limitation of Kewbuilt’s liability (Section 11); and Client’s indemnification obligations (Section 12.1).

15.3 Record of acceptance. Kewbuilt keeps a record of the version of this Agreement Client accepted, the date and time of acceptance, the checkout or signature record (including the acceptance checkbox state), and the Order Record, and will provide a copy to Client on request. The version accepted is identified by the version number and date at the top of this document, and, for each later version that takes effect under Section 14.6, Kewbuilt keeps the notice email and its date. Each version remains available at a permanent address (for example, kewbuilt.com/agreement/v7).

15.4 Signature (where used). Where the Parties sign rather than accept online:

The following is populated from the Order Record and updated under Section 2.2. The current version is kept by Kewbuilt and provided to Client on request.

A-3. Recording and AI disclosure sentence (Section 7.1)

The Receptionist speaks the following sentence at the start of every call, before anything else:

“Thanks for calling ______ — this call may be recorded for quality. This is ______, the AI receptionist.”

The business name and Receptionist name are filled from the Order Record. The sentence must always state both that the call may be recorded and that the caller is speaking with an AI; any additional wording Client requires under Section 7.2 is added after it. Where the Receptionist announces closed hours or emergency resources, that announcement comes immediately after this sentence. Client’s acceptance of this Agreement is its approval of this sentence.

A-4. Onboarding questionnaire

The Receptionist’s call-handling configuration (greeting, urgent criteria, message fields, booking rules, emergency resources) is recorded in the version of Kewbuilt’s onboarding questionnaire current on the Effective Date, as completed by Client, which is incorporated by reference as part of the Order Record and may be updated under Section 2.2. The questionnaire includes Client’s confirmation of the representations in Section 5.6 (not a health care practice, covered entity, or business associate use).

Schedule B — Online Acceptance Language

The following text appears beside the required acceptance checkbox on the checkout page hosted for Kewbuilt by its payment processor, with “Client Service Agreement” linking to the current version of this document. Where the checkout page shows the processor’s standard acceptance checkbox instead, that checkbox links to this Agreement and the acknowledgments in Section 15.2 apply.

I have read and agree to the Kewbuilt Client Service Agreement (v7, November 4, 2026) on behalf of the business named above, and I am authorized to bind it. I understand that the $750 setup fee is non-refundable except as Section 3.1 provides; that my Plan fee is charged automatically on the 1st of each month; that minutes over my Plan are billed at $1.00 per minute, never more than the next Plan’s price for the next Plan’s minutes, and that reaching that cap moves my Plan up on the first 1st of the month at least seven days after Kewbuilt emails me; that the Receptionist is an AI system, not an emergency service, and can make mistakes; that the service is not available to health care practices; and that the Agreement limits Kewbuilt’s liability and requires me to indemnify Kewbuilt for claims arising from my business, including call-recording and AI-disclosure claims.

The checkbox is unchecked by default and checkout cannot complete until it is checked. Kewbuilt records the checked state, timestamp, and Agreement version with the Order Record (Section 15.3).
